I am Andrea Okoro, and I help digital health innovators, payor-facing companies, and healthcare organizations navigate complex regulatory and transactional challenges. Drawing on both in-house leadership and Am Law 50 experience,
I provide practical, business-focused legal guidance that supports innovation, compliance, commercialization, and long-term growth.

My Journey and Experience

Andrea’s experience spans Medicare and Medicaid, HIPAA and state privacy laws, the Anti‑Kickback Statute, corporate practice of medicine, AI, and healthcare marketing. She partners with clients from early product development through commercialization, contracting and licensing, and post‑market compliance, offering practical, business‑aligned guidance at every stage.
Andrea brings a dual perspective shaped by significant in‑house leadership and Am Law 50 law firm experience. As Head of Legal & Compliance at Soda Health (now Evermore), an early‑stage health tech company, she founded and built the legal department, oversaw the company’s CMS compliance program, and guided executive leadership through high‑stakes regulatory questions. She also negotiated licensing agreements with Fortune 100 companies and supported regulatory audits.
While practicing at McDermott Will & Emery in the firm’s nationally recognized healthcare practice, Andrea advised on M&A transactions, supported life sciences clients with research contracting needs, and counseled clients through data breaches, state licensing regimes, and other healthcare regulatory matters. Andrea combines her in-house and law firm experience to provide clients with product counsel services, risk-based regulatory advice, and strategic transactional support.
A Multifaceted Background
Andrea publishes and speaks on health law, policy, and bioethics. She has lectured on health law topics at University of Arizona, Boston University, and Northwestern, and has published with Massachusetts Continuing Legal Education, the American Journal of Law & Medicine, and NBC. She has also been recognized by the National Black Lawyers as a Top 40 Under 40 and Top 100 attorney.
